Shireen Chua.

Shireen started her legal practice in 2002. She specializes in the practice of fund management and corporate commercial law. Her clients are fund management companies, family offices, venture capital companies, start-ups, businesses from various industries including retail, education, medical and the financial industry. Shireen is the Managing Partner and co-head of the Corporate Department of the firm.

Experience and Areas of Practice:
- Wealth Management and Private Equity Funds – Advising clients on fund management activities in Singapore and compliance requirements under the Securities and Futures Act, advising clients on the Variable Capital Company fund structure, advising clients on the Limited Partnership fund structure, advising clients on setting up legal structures for investment funds and private equity funds.
- Venture Capital – Advising clients on investing in investee companies, advising on convertible note agreements, advising clients on investors investing in their companies and drafting related legal documentation for venture capital investments.
- Mergers and Acquisitions – Carrying out Legal Due Diligence on target companies, Drafting Memorandums of Understanding, Letters of Intent, Share Purchase Agreements, Asset Purchase Agreements, Joint Venture Agreements and Shareholders’ Agreements.
- Commercial Agreements – Drafting Franchise Agreements, Distribution Agreements, Agreements for Licensing of Intellectual Property and Non-Disclosure Agreements. Reviewing various types of business agreements including general terms and conditions of sale/purchase, reseller agreements, distribution and licensing agreements, software licensing agreements, reseller agreements and service level agreements.
- Advisory – Advising clients in relation to fund management activities, setting up funds, the sale and acquisition of shares and assets, on business structures and commercial agreements, directors’ duties and compliance and regulatory issues.
- Employment – Advising on employment and termination of employment matters, drafting employment agreements and severance/settlement agreements.

Experience and Areas of Practice:
Eunice has been working as a lawyer since 2003. Her areas of practice are corporate and commercial law, real estate, loans and financing, and personal law matters. Eunice is the co-head of the Corporate Department of the firm. Eunice is fluent in English and Mandarin.
- Loans and Financing – Advising lenders and drafting loan and security documents, Advising borrowers and negotiating the terms of letters of offer, loan agreements and securities, including refinancing, redemptions and discharges.
- Real Estate – Advising on issues relating to immoveable property including purchase, sale, tenancies, decoupling, stamp duty and gifts.
- Corporate Work – Advising on and drafting a wide range of transaction documents such as joint venture agreement, sale and purchase agreements for shares and/or assets, share subscriptions, convertible notes or loans, carrying out due diligence.

Experience and Areas of Practice:
Jacqueline started her legal career in 2003. She has acted for individual and corporate clients in both contentious and non-contentious matters across a wide range of practice areas.
Jacqueline oversees our firm’s private client practice and is a Commissioner for Oaths. She advises clients on succession planning, the drafting of wills and lasting powers of attorney, acts for clients in applications for grants of probate and letters of administration and applications for deputyship. She also advises clients on corporate commercial agreements.
